Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you” or “your”) and TD Vision U LLC, a Texas limited liability company (“TD Vision,” “we,” “us,” or “our”), governing your access to and use of the nodal.design website (the “Site”) and the Nodal and Nodal+ add-ins for Autodesk Revit (together with the Site, the “Services”). By installing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

1. Definitions

  • “Nodal” means the free tier of the add-in, distributed through the Autodesk App Store.
  • “Nodal+” means the paid subscription tier and its associated tools and license.
  • “Account” means the account you create at nodal.design to obtain and manage a Nodal+ license.
  • “Merchant of Record” or “MoR” means Lemon Squeezy, the authorized reseller and seller of record for Nodal+ purchases (see Section 4).

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, in which case “you” refers to that entity.

3. Accounts

To purchase or manage Nodal+, you must create an Account and provide a valid email address. Authentication is passwordless: we send a single-use sign-in link to your email. You are responsible for maintaining the security of your email account and any sign-in links, and for all activity that occurs under your Account. Notify us promptly at support@nodal.design of any unauthorized use. You agree to provide accurate information and to keep it current.

4. Subscriptions, Billing, and Merchant of Record

Nodal+ is offered as a recurring subscription on a monthly or annual basis at the prices listed on the Site. Purchases of Nodal+ are sold and processed by our Merchant of Record, Lemon Squeezy, which acts as the authorized reseller and seller of record. This means that your payment transaction is with Lemon Squeezy, and Lemon Squeezy is responsible for payment processing, billing, the collection and remittance of applicable sales tax or VAT, refunds, and chargebacks. Your use of the Nodal+ software is separately licensed to you by TD Vision under these Terms. Your purchase is also subject to Lemon Squeezy’s terms and privacy policy.

Auto-renewal. Unless you cancel, your subscription renews automatically at the end of each billing period, and the then-current fee will be charged using your payment method on file. Price changes. We may change subscription prices; any change will apply to the next renewal after we provide reasonable advance notice. Taxes. Prices are exclusive of taxes unless stated otherwise; applicable taxes are calculated and collected by the Merchant of Record.

5. Free Trial

We may offer a 7-day free trial of Nodal+, available once per customer. If you do not subscribe by the end of the trial, your Nodal+ access ends and the associated license expires. We reserve the right to determine your eligibility for a trial and to modify or discontinue trials at any time. Attempting to obtain multiple trials (for example, by creating multiple accounts) is prohibited.

6. Cancellations and Refunds

You may cancel your subscription at any time from your Account’s billing page, which opens the customer portal provided by the Merchant of Record. Upon cancellation, your Nodal+ access continues until the end of the current paid period, after which it will not renew and you will not be charged again.

Because the free trial allows you to evaluate Nodal+ before paying, payments are generally non-refundable, except where required by applicable law. We nonetheless review refund requests in good faith on a case-by-case basis; contact support@nodal.design. Any refund that is granted is issued by Lemon Squeezy as Merchant of Record. A refund or chargeback may result in immediate termination of the associated license.

7. License Grant and Restrictions

Subject to your compliance with these Terms and, for Nodal+, your payment of applicable fees, TD Vision grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Services for your internal professional purposes. A Nodal+ subscription grants one license, activatable on one machine by default, unless a different seat count is stated at purchase.

You agree that you will not, and will not permit any third party to:

  • copy, modify, translate, or create derivative works of the Services except as expressly permitted;
  • reverse engineer, decompile, or disassemble the Services, or attempt to derive source code, except to the extent this restriction is prohibited by applicable law;
  • rent, lease, lend, sell, resell, sublicense, distribute, or otherwise commercially exploit the Services or your license key;
  • share, publish, or transfer license keys, or circumvent, disable, or interfere with license validation, activation limits, or any security or usage-control feature;
  • remove or obscure any proprietary notices; or
  • use the Services in violation of any applicable law or third-party rights.

All rights not expressly granted are reserved by TD Vision. The free Nodal tools are provided under the terms applicable to their distribution through the Autodesk App Store.

8. License Activation and Machine Binding

Nodal+ licenses are activated and validated online through our licensing provider and are bound to the machine(s) on which they are activated. Licenses are validated periodically over the internet and include a limited offline grace period. To move a license to another computer, deactivate it on the current machine (Nodal Settings → Deactivate License), which frees the seat, then activate it on the new machine with the same key. If you can no longer access a machine to deactivate it, contact support@nodal.design. We may suspend or revoke a license that we reasonably believe is being used in violation of these Terms.

9. Intellectual Property

The Services, including all software, tools, designs, text, graphics, logos, and the “Nodal” and “Nodal+” names and marks, are owned by TD Vision or its licensors and are protected by intellectual property and other laws. These Terms do not transfer any ownership rights to you. If you provide feedback or suggestions, you grant TD Vision a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

10. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not use the Services to infringe others’ rights, to transmit malware, to gain unauthorized access to any system, to overload or disrupt the Services, or to engage in any fraudulent or abusive activity.

11. Third-Party Products and Autodesk

The Services are add-ins for Autodesk® Revit®. TD Vision is an independent developer and is not affiliated with, endorsed by, or sponsored by Autodesk, Inc. Autodesk and Revit are trademarks of Autodesk, Inc. Your use of Revit and of our third-party service providers (including Lemon Squeezy, Cryptlex, Resend, and Cloudflare) is governed by their respective terms, and we are not responsible for third-party products or services.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TD VISION DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR PROJECT DATA; THE SERVICES ARE TOOLS THAT ASSIST WITH, BUT DO NOT REPLACE, YOUR PROFESSIONAL JUDGMENT AND REVIEW.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TD VISION OR ITS OWNERS, MEMBERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TD VISION’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR NODAL+ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless TD Vision and its owners, members, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

15. Term and Termination

These Terms remain in effect while you use the Services. You may stop using the Services and close your Account at any time. We may suspend or terminate your access to the Services, or revoke a license, if you materially breach these Terms, if required by law, or to protect the Services or other users. Upon termination, your license ends and you must cease using Nodal+. Sections that by their nature should survive termination (including Sections 7, 9, and 12–19) will survive.

16. Changes to the Services and to These Terms

We may modify, add, or discontinue features of the Services at any time. We may also update these Terms; when we do, we will revise the “Last updated” date and, for material changes, provide reasonable notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Services.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules and excluding the U.N. Convention on Contracts for the International Sale of Goods. You and TD Vision agree that the exclusive venue for any dispute not subject to informal resolution below will be the state or federal courts located in the State of Texas, and you consent to their personal jurisdiction, to the extent permitted by applicable law.

18. Dispute Resolution

Before filing a claim, you agree to first try to resolve the dispute informally by contacting us at support@nodal.design; we will attempt in good faith to resolve it within 30 days. To the extent permitted by law, you and TD Vision each waive any right to a jury trial and agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

19. Miscellaneous

These Terms and the Privacy Policy constitute the entire agreement between you and TD Vision regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided by email or by posting on the Site.
